1Introduction and Acceptance of These Terms
These Terms of Service (the “Terms”) form a legally binding agreement between Geonaly, a company registered in the Czech Republic under company registration number (IČO) 29805937 with its registered office at Prvního pluku 347/12a, Karlín, 18600 Praha 8, Czech Republic (“Geonaly”, “we”, “us”, or “our”), and the individual or legal entity that accesses or uses the Service (“Customer”, “you”, or “your”).
By creating an account, accessing the website at geonaly.com (the “Website”), or using the Geonaly platform and any related services (together, the “Service”), you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
2Definitions
- “Service” means the Geonaly platform, together with the Website, dashboards, reports, alerts, exports, integrations, and associated documentation.
- “AI Assistants” means the third-party generative AI systems queried by the Service, currently ChatGPT, Claude, Gemini, and Perplexity, and any additional systems we may support over time.
- “Connected Services” means third-party services you authorize the Service to connect to, such as Google Search Console, Google Analytics 4, Slack, Notion, and Google BigQuery.
- “Data Providers” means third-party sources of data used by the Service, such as DataForSEO.
- “Customer Data” means data you submit or make available to the Service, including brand and competitor names, domains, prompt configurations, and data retrieved from your Connected Services.
- “Service Data” means data generated or derived by the Service, including AI Assistant responses, computed metrics, indices, scores, and aggregated analytics.
- “Subscription” means a paid plan granting access to the Service for a subscription period. “Order” means a purchase of a Subscription through our checkout process.
3Description of the Service
Geonaly is a single workspace for monitoring search performance and tracking brand presence in AI assistants, and for producing structured reports. Depending on your plan, the Service includes the capabilities described below.
- Search performance analytics. By connecting Google Search Console and Google Analytics 4, the Service surfaces clicks, impressions, positions, top movers, quick wins, click-through-rate issues, and keyword cannibalization.
- Crawl and indexing analysis of your website, including a site health score and page-level diagnostics.
- AI Visibility. The Service runs prompt sets against the supported AI Assistants and measures brand mentions, citations, position, sentiment, and share of voice.
- Brand Awareness and share of search. The Service tracks branded keyword visibility for your domain and selected competitors using third-party SEO data.
- Reporting, alerts, and delivery. The Service produces dashboards and scheduled reports and can deliver them by email on a schedule you choose.
- Data access. The Service provides CSV, spreadsheet and PDF exports of your data.
You acknowledge that: (a) outputs of AI Assistants are probabilistic and non-deterministic, so identical prompts may produce different responses over time; (b) metrics produced by the Service are statistical measurements and estimates derived from sampled AI responses and from data supplied by Connected Services and Data Providers, and are not guarantees of any outcome; (c) figures labelled “estimated” or “modelled” are derived from modelling assumptions and are not measured traffic or usage; and (d) data obtained from Connected Services and Data Providers is provided by those third parties, and we do not warrant its accuracy or completeness.
4Integrations and Connected Services
The Service can connect to Connected Services that you authorize and can draw on Data Providers and AI Assistants. By connecting a third-party account, you authorize us to access, retrieve, store, and process data from that account as needed to provide the Service and, where you configure it, to send reports or data to destinations you select.
You represent that you have the right to connect each account and to permit this processing, and you remain responsible for complying with the terms of the relevant third parties. Connected Services, Data Providers, and AI Assistants are operated by their respective providers and are outside our control. Changes they make, including to models, interfaces, rate limits, availability, or terms, may affect the coverage or functionality of the Service, and we may modify the set of supported integrations accordingly.
5Eligibility and Account Registration
The Service is intended for business use. You must be at least eighteen (18) years of age and legally able to enter into binding contracts. You agree to provide accurate, current, and complete registration information and to keep it up to date. You are responsible for keeping your account credentials confidential and for activity under your account, and you must notify us without undue delay at support@geonaly.com of any unauthorized use or security breach.
6Subscriptions, Fees, and Payment
Access to the Service requires a paid Subscription, except for any free trial or free tier we offer. Applicable plans, features, usage limits (including tracked prompts, brands, seats, and any usage or API budget), and prices are described on the Website at the time of purchase.
Merchant of Record
Our order process is conducted by our online reseller Paddle.com Market Limited (“Paddle”). Paddle is the Merchant of Record for all Orders. Paddle handles customer enquiries relating to payments, invoicing, and applicable taxes (including VAT and sales tax), and processes returns. When you complete an Order, you also agree to Paddle’s Checkout Buyer Terms, available on Paddle’s website.
Renewal
Subscriptions renew automatically at the end of each subscription period (monthly or annual, as selected) unless cancelled before the renewal date. You may cancel at any time through your account settings or through Paddle. Cancellation takes effect at the end of the current subscription period.
Price changes
We may change Subscription prices with effect from the next renewal, giving at least thirty (30) days’ notice by email or in-product notification. Continued use after the change takes effect constitutes acceptance of the new price.
Refunds
Refunds are governed by our Refund Policy, available on the Website, and are processed by Paddle.
7Free Trials and Beta Features
We may offer free trials and features identified as beta, preview, or early access (“Beta Features”). Beta Features are provided for evaluation, may be changed, suspended, or discontinued at any time, may contain defects, and are provided “as is” without warranties. Data generated during a trial or through Beta Features may be deleted when the trial ends or the feature is discontinued.
8Acceptable Use
You agree not to, and not to permit any third party to:
- use the Service in violation of any applicable law, or of the terms of any Connected Service, Data Provider, or AI Assistant;
- resell, sublicense, rent, lease, or otherwise make the Service available to third parties, except as expressly permitted under an agency or multi-client plan;
- copy, modify, reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
- scrape, harvest, or extract data from the Service beyond the export functionality we provide;
- interfere with the integrity or performance of the Service, circumvent usage limits, or probe or test the security of our systems without authorization;
- submit Customer Data that is unlawful or infringing, or that you do not have the right to submit or to connect; or
- use the Service to build a competing product or service.
We may suspend access, in whole or in part, where we reasonably believe your use violates this Section, threatens the security or integrity of the Service, or exposes us or others to liability. Where practicable we will give notice and an opportunity to resolve the issue before or promptly after suspension.
9Customer Data and Service Data
Your data
As between the parties, you retain all rights in Customer Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service and to comply with law.
Our data
As between the parties, we retain all rights in the Service and Service Data. During your Subscription we grant you a non-exclusive, non-transferable right to access and use the Service Data made available to you, including reports and exports, for your internal business purposes and, under an agency plan, for reporting to your clients.
Aggregated data
We may use data derived from operating the Service in aggregated or anonymized form that does not identify you or any individual, for purposes including benchmarking, research, and improving the Service.
Personal data
Where we process personal data on your behalf, that processing is governed by our Privacy Policy and, where required by data protection law, by a data processing agreement available on request at support@geonaly.com.
10Intellectual Property
The Service, including its software, design, structure, metric methodologies, and documentation, together with all related intellectual property rights, is and remains the property of Geonaly and its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication or otherwise. The Geonaly name and logo are trademarks of Geonaly and may not be used without our prior written consent. If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose.
11Confidentiality
Each party will protect the other party’s confidential information with at least reasonable care and will use it only to perform its obligations or exercise its rights under these Terms. Confidential information does not include information that is or becomes public without breach, was lawfully known before disclosure, is independently developed, or is lawfully received from a third party without a duty of confidence. A party may disclose confidential information where required by law, giving prompt notice where legally permitted.
12Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) METRICS, SCORES, OR ESTIMATES PRODUCED BY THE SERVICE WILL BE ERROR-FREE, COMPLETE, OR SUITABLE AS THE SOLE BASIS FOR ANY BUSINESS DECISION; (B) THE SERVICE’S MEASUREMENTS WILL MATCH THOSE OF ANY OTHER TOOL; (C) DATA FROM CONNECTED SERVICES, DATA PROVIDERS, OR AI ASSISTANTS WILL BE ACCURATE OR AVAILABLE; OR (D) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, OR SECURE. YOU ARE RESPONSIBLE FOR DECISIONS MADE ON THE BASIS OF INFORMATION FROM THE SERVICE.
13Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for willful misconduct or gross negligence where such a limit is not permitted.
14Indemnification
You agree to indemnify and hold harmless Geonaly and its officers, directors, employees, and agents from claims, damages, liabilities, and reasonable costs (including legal fees) arising out of or related to: (a) Customer Data or the accounts you connect; (b) your use of the Service in violation of these Terms or applicable law; or (c) your violation of any third-party right.
15Term, Suspension, and Termination
These Terms apply from the date you first accept them and remain in effect while you use the Service. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. You may terminate at any time by cancelling your Subscription and ceasing use of the Service. Termination does not entitle you to a refund of prepaid fees except as stated in the Refund Policy or required by law.
On termination: (a) your right to access the Service ends; (b) we will make Customer Data and your report exports available for retrieval for thirty (30) days, after which we may delete them in line with our retention practices; and (c) provisions that by their nature should survive, including Sections 9 to 14, this Section 15, and Sections 17 and 18, will survive.
16Changes to the Service and to These Terms
We continue to develop the Service and may add, change, or discontinue features, but we will not materially reduce the core functionality of your paid Subscription during its current term without offering a reasonable remedy. We may amend these Terms from time to time. For material changes we will give at least thirty (30) days’ notice by email or in-product notification before they take effect. If you do not agree to the amended Terms, you may terminate your Subscription with effect from the date the changes take effect. Continued use after that date constitutes acceptance.
17Governing Law and Dispute Resolution
These Terms, and any dispute arising out of or in connection with them or the Service, are governed by the laws of the Czech Republic, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts of Prague, Czech Republic have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights or mandatory venue provisions under applicable law.
18General Provisions
- Entire agreement. These Terms, together with the Privacy Policy, the Refund Policy, and any Order, are the entire agreement between the parties regarding the Service and supersede prior agreements on that subject.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions stay in effect, and the invalid provision is replaced by a valid one that most closely reflects its intent.
- Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control.
- Notices. We may give notices by email to your account address or through the Service. Notices to us should be sent to support@geonaly.com or to our registered address.
